Terms of Service

These Terms of Service (“Terms”) govern your use of ReviewMate, provided by Eledec, LLC (“Company,” “we,” “us,” or “our”). By accessing or using ReviewMate, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, joining the waitlist, or using any part of ReviewMate, you confirm that you are at least 18 years old, have the authority to enter into these Terms, and agree to comply with them. If you are using the Service on behalf of a business, you represent that you have authority to bind that business.

2. Description of Service

ReviewMate is an AI-powered tool that helps small business owners generate and post responses to Google Business Profile reviews. The Service connects to your Google Business Profile via OAuth, retrieves your reviews, uses AI to generate suggested responses, and allows you to review and post those responses with one click.

3. User Accounts and Eligibility

To use ReviewMate, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You must own or be authorized to manage the Google Business Profile(s) you connect to ReviewMate. You may not use ReviewMate to manage profiles you are not authorized to access.

4. Subscription and Billing

Early access pricing: During the early access period, ReviewMate is available at $1/month per location for waitlist members. This price is limited to early access and will increase at general launch.

Regular pricing: Pricing after the early access period is to be determined and will be communicated prior to any changes.

Billing: Subscriptions are billed monthly. Payment is processed by Stripe. You authorize us to charge your payment method on a recurring basis.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial months unless required by applicable law.

Free trial: If a free trial is offered, it will be described at sign-up. After the trial, your subscription will automatically convert to a paid plan unless you cancel.

5. Acceptable Use

You agree not to use ReviewMate to:

  • Post spam, misleading, or deceptive review responses
  • Generate or post responses to fake or incentivized reviews
  • Abuse, harass, or threaten reviewers in any responses
  • Violate Google's Terms of Service, policies, or review guidelines
  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to other users' accounts or Google Business Profiles
  • Reverse engineer, scrape, or exploit the Service in ways not intended by its design

We reserve the right to suspend or terminate accounts that violate these rules.

6. AI-Generated Content Disclaimer

ReviewMate uses artificial intelligence to generate suggested review responses. You are solely responsible for reviewing all AI-generated content before posting it. We make no guarantee that AI-generated responses will be accurate, appropriate, or suitable for your business. By posting a response, you take full responsibility for its content. Do not post responses you have not reviewed.

7. Google API Compliance

ReviewMate accesses Google services via the Google Business Profile API. By using ReviewMate, you agree to comply with Google's Terms of Service and all applicable Google API policies. You are responsible for ensuring your use of review responses complies with Google's review policies. We are not responsible for any actions Google takes on your account as a result of your use of the Service.

8. Intellectual Property

ReviewMate, its design, software, and branding are the intellectual property of Eledec, LLC. You may not copy, modify, distribute, or create derivative works without our express written permission.

You retain ownership of your business data (review content, brand voice settings). By using the Service, you grant us a limited license to process your data to provide the Service.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL MEET YOUR EXPECTATIONS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELEDEC, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms, or for any other reason at our sole discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. You may terminate your account at any time by canceling your subscription and contacting us to delete your data.

12. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Florida.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.
